Overseas Growth Hub Ltd GENERAL TERMS AND CONDITIONS

 

1 General The terms and conditions under which or because of Overseas Growth Hub Ltd, hereinafter referred to as “Overseas Growth Hub Ltd”, are provided. The terms and conditions form a whole with the quotation and/ or contract.

 

2 Applicability

2.1 Customer Terms and Conditions are expressly rejected.

 

2.2 These terms and conditions apply to all services provided by Overseas Growth Hub Ltd to the client.

 

 2.3 The General Terms and Conditions also apply to any additional or follow-up assignments.

 

2.4 These General Terms and Conditions may also rely on those natural and legal persons who are directly or indirectly involved in the services provided by or on behalf of Overseas Growth Hub Ltd in any way.

 

3 Execution of assignment

 

3.1 Overseas Growth Hub Ltd is obliged to exercise the care that may reasonably be expected from it under the circumstances given to the services provided by or because of it. Overseas Growth Hub Ltd is not responsible for achieving the intended result.

 

3.2 When performing an assignment, Overseas Growth Hub Ltd may involve one or more individuals who are not directly or indirectly associated with Overseas Growth Hub Ltd. This person’s failure can only be attributed to Overseas Growth Hub Ltd, if the client demonstrates that the choice of Overseas Growth Hub Ltd of this person has not been careful.

 

4 Cooperation by Client

 

4.1 The client is obliged to provide all data and records required by Overseas Growth Hub Ltd in accordance with its discretion for the correct execution of the assignment provided, in a timely and desired form and in the desired manner.

 

4.2 The client is obliged to inform Overseas Growth Hub Ltd without delay about facts and circumstances that may be relevant in connection with the execution of the assignment.

 

 4.3 The costs and additional honoraria arising from delay in the execution of the assignment arising from the failure to provide the requested data and documents or documents are borne by the client.

 

4.4 The client guarantees that he has lawfully possessed the personal data and that he lawfully makes the personal data available to Overseas Growth Hub Ltd in the context of the assignment for the execution of the assignment. Overseas Growth Hub Ltd process the personal data provided to it solely under the responsibility of the client.

 

4.5 The client permits Overseas Growth Hub Ltd and the persons involved by or because of Overseas Growth Hub Ltd in the execution of an assignment to share data relating to the client and the assignment with other persons associated with Overseas Growth Hub Ltd, to the extent necessary or useful for relationship management.

 

 5 Acceptance Agreement and Terms and Conditions

 

5.1 Each assignment is recorded by Overseas Growth Hub Ltd in writing with a quotation/contract of assignment describing the conditions under which Overseas Growth Hub Ltd provides its services and performs activities. Overseas Growth Hub Ltd prefers to receive an accepted or signed copy back so that, for both parties, clarity exists. If for any reason this does not happen, but the client confirms that an order is issued to us, whether or not by providing necessary documents and/or information, then the tender agreement shall be deemed to have been accepted by the client.

 

 

5.2 In addition, all our services and activities are subject to these general terms and conditions which are also found to be accepted by Overseas Growth Hub Ltd or by providing information by the Client.

 

6 Fee

 

6.1 If wages and/or prices change after the conclusion of the contract, but before the assignment is fully executed, Overseas Growth Hub Ltd shall be entitled to adjust the agreed rate accordingly as of 1 January each year.

 

6.2 Overseas Growth Hub Ltd fee includes reasonable expenses but excludes further agreed expenses as may be appropriate.

 

7 Payment

 

7.1 Payment by the client must be made without deduction, discount or debt settlement within the agreed time limits, but in no case later than fourteen days after the invoice date.  Objections to the amount of the invoices submitted do not suspend payment obligation.

 

7.2 If the client is in default, without prejudice to the other rights of the contractor - all claims of the contractor to the client will be payable immediately and in full. In addition, the contractor has the right to suspend its services without being liable for any damage resulting from it. All judicial and extrajudicial (collection) costs incurred reasonably incurred by Overseas Growth Hub Ltd as a result of the client's failure to fulfil its payment obligations shall be borne by the client.

 

7.3 Any objection to the amount of Overseas Growth Hub Ltd invoice must be made in writing within 14 days of the sending thereof. If the objection or motivation does not exist within the specified time limit, the client shall be deemed to agree to the amount of the invoice. Objection does not relieve the client from its obligation to pay the invoice unless Overseas Growth Hub Ltd confirms this in writing.

 

 

8 Liability

 

8.1 For the damage suffered by the client resulting from an event for which Overseas Growth Hub Ltd is liable, the client is entitled to a reimbursement: a. if Overseas Growth Hub Ltd for that damages are covered under insurance, up to an amount equal to the insurance reward to be obtained by Overseas Growth Hub Ltd plus the excess of Overseas Growth Hub Ltd under that insurance; b. if Overseas Growth Hub Ltd is not covered under insurance for such damage, up to a maximum amount equal to the fee (only the fee for hours worked, excluding costs and excluding third party invoices) excluding VAT and surplus that Overseas Growth Hub Ltd invoiced to the client and paid by the contractor in the calendar year in which the event occurred in the relevant assignment.

 

 8.2 Without prejudice the right to damages shall lapse in each case twelve months after the occurrence of the damage directly or indirectly and for which Overseas Growth Hub Ltd is liable.

 

 9 Applicable Law and Choice of Forum

 

9.1 The legal relationship between Overseas Growth Hub Ltd and the client, as well as those using its services, is subject to UK law.

 

9.2 The client and Overseas Growth Hub Ltd are authorised to agree to submit disputes to a mediator.
